That the company SUNE SRL, from now on «the Supplier», with registered office at San Lorenzo 457 …….., represented by Mr. ….. Sebastian Alexander Bessone Kauffman ………. grants to the company ……………., from now on hereinafter «the Distributor», with registered office at …………. represented by Mr. / Mrs. ……………, the distribution (exclusive in the following territory ……………, hereinafter referred to as «the territory»), of the …………. Adaptable Solar Charger ……. ….. whose intellectual property is owner, from now on called «the Product», which contains the by-product «the Battery», for the period between day 1 of …………………. …. of the year ………… until the day 28/29/30/31 of …………………. …. of the year …………
DISTRIBUTION CLAUSES
FIRST: The product will be distributed both in the Argentine territory, as well as to Distributors belonging to the 152 countries adhering to the PCT patent request, to which the Supplier has entered the product.
SECOND: The products can be marketed with the logo of the «SUNE» brand, registered by the manager Sebastian Alexander Bessone Kauffman, or with the logo of the brand that the Distributor dispose. In case of trading with logos other than «SUNE», the Distributor takes full responsibility for the use of said brands and logos, leaving the Supplier SUNE S.R.L. free of any incorrect trademark use, or of the product itself. The same logo is placed on the product and its packaging.
THIRD: The Distributor has the obligation to respect the market price of the product, arranged by the publications SUNE SRL within its online store at the web platform www.sunesolar.com, where he will respect the same price for all the countries at exchange rate updated day by day to which the Supplier commits to perform with that periodicity.
FOURTH: The quantity discounts are the following:

FIFTH (only in case of monthly purchases): the Distributor has exclusivity in an area delimited by number of inhabitants, without distinction between cities, states, provinces, countries or groups of them. This delimitation is done according to purchase amount, in all cases through monthly purchases. The exclusivity will be maintained as long as the monthly purchase periodicity is respected, to be validated from day 1 to day 7 of each month. Payment is made in advance and the purchase is validated once the payment is credited to the Supplier’s bank account. The payment will only be validated if it is made from the bank account of the Distributor to the bank account of the Supplier, or means of payment registered under his name, not being accepted another mode of payment. Validation delayed due to problems external to the Supplier hinders the delivery of the merchandise and its exclusivity, until payment is credited to the Supplier’s bank account.
As the quantity of the Product increases, the number of inhabitants of the delimited area increases, increasing the ratio defined as target inhabitants per unit of the Product, calculated with the resulting mathematical account of inhabitants divided by monthly amount of the Product.

SIXTH: The Distributor offers official product warranty, which includes the business of the official technical service of the shipper. The official guarantee consists of a complete change of the Product due to manufacturing defects, by the Supplier, and the technical service consists of changing the battery, thanks to its specially designed housing. The Supplier grants the Distributor the special key for the change of the 2 screws of the casing, and sealing labels of the casing. The battery and the circuit are integrated in the same device whose replacement is done in a time of 1 minute, and at a cost to the final consumer of a quarter of the purchase price, being the Distributor beneficiary of 20% of said cost of technical service.
SEVENTH: the product can be exported abroad without battery, according to the customer’s preference in the purchase order. In this case, they will be sent separately in a purchase and separate tracking number to the chargers. Along with the package, the Distributor will receive the special key for the placement of the battery, which is used for technical service. The placement is very simple, does not require any type of skilled labor, and the Supplier will sent to the Distributor an explanatory video of how the replacement is made.
EIGHTH: the Distributor has the right to use the advertising material generated by the Supplier. as well as the possibility of creating advertising material, at the expense of the Distributor both in costs and resources and with the approval of the Supplier. The Supplier may suggest advertising concepts and ideas, which will be processed by the Distributor, or the Distributor may create the advertising and send it to the Supplier for approval. If the Supplier does not approve the advertising plan, it has the obligation to justify it and generate a counterproposal.
NOVENA: en caso de conflicto entre las partes de este contrato de distribución relativa a este contrato, su ejecución y liquidación, las partes se someten a la jurisdicción de los Tribunales de la Capital Federal, para lo cual establecen los siguientes domicilios legales en los indicados al comienzo del presente, donde se tendrán por válidas todas las notificaciones.
NINTH: in case of conflict between the parties of this distribution agreement relating to this contract, its execution and liquidation, the parties submit to the jurisdiction of the courts of the Autonomous City of Buenos Aires, for which they establish the legal addresses in those indicated at the beginning of the present contract, where all notifications will be considered valid.
